The firm was born in 1964 as a sole-proprietorship and over the years has steadily morphed into the vibrant and still-growing partnership that it is today. Our current practice covers many different areas of law and sectors, having evolved from the original practice that comprised conveyancing, banking and finance law, to keep pace with developments in Malaysia.  The firm’s current principal focus would be in the areas of companies, foreign investment, land, construction, medico-legal, banking, finance, receivership, insurance, intellectual property, information  & communications technology and tax.  Having said that, the list of other areas included in our work is a long one.

The diversity of our practice areas has meant that clients can safely regard the firm virtually as a one-stop centre for legal advice and representation.

We believe that another part of our strength is in our constant attention towards providing prompt responses and proactive thought to offering real solutions to the legal issues encountered by our clients.  At the same time, our aim is to retain a traditional personalised approach to practice. 1964

Mah King Hock, a former magistrate, was engaged in the practice of law under the name of “Mah King Hock & Co”.

1966

Kok Wee Kiat joined the firm as from 1st January 1966 and the name of the Firm was then changed to “Mah & Kok”.

1971

With the admission of more partners, “Mah & Kok” became “Mah-Kok & Din”

1991

Later, in 1991, the name was changed to “Mah & Din”.

1993

The name “Raja, Darryl & Loh” was launched on 1st January 1993.

REAL ESTATE & CONSTRUCTION

 

Raja, Darryl & Loh fields a very experienced team of lawyers, who have been particularly active recently in advising clients on construction matters ranging from the submission of tenders and bids, the drafting of necessary documentation, to project implementation and dispute resolution. Practice head Chang Wei Mun is a construction specialist. The team is representing KL Eco City (the developer of a major integrated development) in an injunction filed by the contractor, in connection with the collapse of a bridge across the Klang River which caused loss of life, injury and substantial damage to property; the client has also filed a claim for damages estimated to be in excess of RM20m. The department has also been hired by a major corporation to revamp and standardise its construction contracts with contractors and subcontractors. Construction litigation and arbitration specialist Choon Hon Leng is also recommended.

 

ANTITRUST & COMPETITION

 

Raja, Darryl & Loh’s competition practice has recently increased its number of specialists to four-dedicated lawyers (including two partners) as a response to a higher demand for its highly-regarded advice. The team approaches cases ‘holistically’, drawing heavily from its commercial and corporate expertise in several industry sectors. It is advising Malaysian car automotive manufacturer Proton on due diligence matters (aimed at compliance with competition law) connected to the client’s proposed strategic investment invitation to potential investors. In a notable work highlight it acted for Trilliant Networks (Canada) (TNCI) on its agreement with Tenaga Nasional (the largest power company in Southeast Asia) to design, supply, deliver, install, license and maintain a purpose-built communications platform for a project in Malacca. Tong Lai Ling is the key name.

CORPORATE & M/A

 

Raja, Darryl & Loh is advising NYSE-listed Pentair on the Malaysian elements of the disposal of its valves and control business to Emerson Electric, in an operation with a global value of more than $3.15bn. The practice is also supporting German bio-technology, corporation Merck KGaA, with the Malaysian aspects of its integration with Sigma-Aldrich, following the latter’s acquisition by the former. Practice head Chew Phye Keat, Tai Chu Wei, Chong Kok Seng, Joyce Teh Yen Yen and Chong Mei Mei are recommended.

 

TAX

 

Raja, Darryl & Loh represented Latexx Manufacturing (a member of the Semperit Group) in an income tax appeal before the Court of Appeal in a precedent-setting case successfully resolved in favour of the client. Vijey Mohana Krishnan leads the practice, ably aided by senior associates Chang Ee Leen and William Wong.

In the latest annual survey of in-house counsel conducted by the publication Asian-MENA Counsel,  Raja, Darryl & Loh has been named an “Asian-MENA Counsel & In-House Community: Malaysia Firm of the Year 2017” for Real Estate/Construction.

Raja Darryl & Loh’s team is equipped to manage equity capital market transactions and securitisations. Chu Wei Tai, practice head, has been assisting a Singaporean cloud computing solution provider on its proposed initial public offering on the Bursa Malaysia’s ACE board.

 

COMPETITION & ANTITRUST

 

Raja Darryl & Loh’s team is skilled at cartel investigations and litigation, price fixing and abuse of dominance matters. Practice head Phye Keat Chew, noted by a client for “rational thoughts and professionalism”, is advising a Malaysian automotive company manufacturer on competition law audits and compliance. Chew is also assisting an automobile manufacturer on an abuse of dominance complaint about favouring some repair shops over others. Raja Darryl & Loh’s Wei Mun Chang, practice leader, and Shirley Hor are acting for SP Setia Group’s KL Eco City, the developer of the mixed use property in Kuala Lumpur. A dispute has happened between KL and the contractor after the collapse of a pedestrian bridge across the Klang River, killing a construction worker. The contractor has filed an injunction so the client cannot collect money under a performance bond, while KL has filed a suit for damages worth more than RM20 million.

DISPUTE RESOLUTION & LITIGATION

Raja Darryl & Loh is recommended for its aviation practice, in particular its work with lessors, funds and private equity. “The aviation finance team in Malaysia is top rate,” says a client. “I trust them to provide sound advice on the most complicated of matters.” With “great command of legal issues in Malaysia and great client service”, Kok Seng Chong, practice head, has had a string of aircraft leasing and asset acquisitions. Raja Darryl & Loh has a reputation for handling direct and indirect tax matters. Practice leader Vijey Krishnan, a leading lawyer, advised Petronas, a Malaysian oil and gas company, on its withholding tax position across the group with some 51,000 employees. Krishnan also represented Latexx Manufacturing, a Malaysian industrial equipment supplier, in an income tax case before the Court of Appeal. The court decided that the Inland Revenue Board could not remove the client’s tax holiday status because of an alleged non-compliance matter.

Raja, Darryl & Loh successfully represented Hicom–Honda Manufacturing in a precedent–setting High Court case involving capital allowance and reinvestment allowance, and advised healthcare provider Pantai Group on industry–specific GST and income tax issues.  Vijey Krishnan heads the practice.

INTERNATIONAL FINANCIAL LAW REVIEW (IFLR) 1000

 

Raja, Darryl & Loh has broad scope of knowledge and is not big enough to be impersonal in serving its clients. Apart from its regular financial and corporate practices, the firm also has a special focus in life sciences with partner Joyce Teh heading the non-litigation aspects of the practice.

 

In M&A, the firm was the Malaysian counsel for Accenture in its acquisition of Schlumberger Business Consulting, the management consulting unit of oilfield service Schlumberger. It also advised TE Connectivity in respect of the Malaysian leg of the sale of its Broadband Network Solutions business to Commscope.

 

In capital markets, the firm represented Tien Wah Press Holdings in respect of its plans to raise RM48 million through a rights issue. The proceeds of the rights issue is to be used for its business expansion plans and for the construction of a new factory.

In March 2015, head of the dispute resolution practice, Darryl Goon and his team represented MISC at the Court of Appeal and the Federal Court over the damages awarded by the High Court to the plaintiff, Scandinavian Bunkering Singapore, for breach of contract on the sale of fixed quantities of marine fuel oil, also referred to as a fixed price bunker supply agreement. The Federal Court overruled both the High Court and Court of Appeal decisions, and ruled in favour of MISC. “I am happy with the cooperation and good performance provided,” says one of Goon’s clients.

 

In an ongoing matter, Goon advises Walker Asia Development as one of the respondents on an appeal involving local and foreign companies over allegations to conspire to injure and defraud in connection with a suspect transaction.
