We are on the panels of most banks in Malaysia, having started off more than 40 years ago with banking and conveyancing as our principal practice area.  Besides routine retail banking, over the years, we have been involved in corporate banking and trade finance, securitisation and debt restructuring work and have dealt with different types of conventional and Islamic financing instruments.  We have structured and prepared the documentation for private debt securities including bonds, commercial papers, medium term notes and various forms of loan stocks.
　

Our Mergers & Acquisition team has been involved in mergers and acquisitions of shares and acquisitions and disposals of businesses or assets involving both local and foreign parties across a range of sectors including telecommunications, transport, ICT, manufacturing, professional services, financial services, securities, insurance, pharmaceutical, infrastructure, construction, oil and gas and education. We have also assisted and advised in respect of various takeover bids involving mandatory / voluntary general offers.
　

Examples of the diversity of the corporate and commercial transactions that we have been involved in:

• corporate transactions such as initial public offerings, fund raisings, equity offerings where we assisted clients with due diligence, vetting of submission documents, preparation of documentation for corporate exercises and general compliance work;
• foreign direct investments including the setting up of local operating entities for multinational companies and assisting the local entities in regulatory and licensing compliance issues that are relevant to their industry and attending to the day-to-day legal and operational requirements of such entities, structuring of joint ventures, review of shareholders' agreements and advisory in respect of corporate governance matters;
• privatisation and corporatisation of governmental or quasi-governmental entities;
• infrastructure involving structuring and setting up of Malaysia’s first ever light rapid transportation system;
• drafting and structuring of insurance policies and insurance advisory in respect of claims, insurance legislation etc;

We count a sizeable majority of the local unit trust and fund management companies amongst our clients and have advised on and acted in virtually all aspects of this practice.
